Submitting an enquiry through our website, email, telephone, or other communication channels does not automatically create a client relationship or guarantee that we will provide services.

We may contact you to understand your requirements and determine whether our services are suitable for your business.

We reserve the right to revise a proposal before acceptance where circumstances, requirements, or service costs change.

Any validity period mentioned in a quotation or proposal will apply to that document.

5. Client Engagement and Service Agreements

Where a client engages our services, the engagement will be governed by the applicable proposal, quotation, statement of work, service agreement, and these Terms & Conditions, as relevant.

If a separately executed agreement contains provisions that conflict with these general Terms & Conditions, the specific agreement will prevail to the extent of the conflict, unless the parties expressly agree otherwise.

The scope of services may not be expanded without mutual agreement.

Additional work, revisions, integrations, advertising platforms, or deliverables outside the agreed scope may attract additional charges.

We may require written approval before commencing additional work.

6. Fees, Payments, and Taxes

Our service fees will be communicated through the applicable quotation, proposal, invoice, or service agreement.

Unless otherwise agreed in writing:

  • Clients must pay invoices according to the agreed payment schedule.

  • Advance payments, retainers, milestone payments, or recurring fees may be required.

  • Applicable taxes, including GST where chargeable, may be added to the quoted fees.

  • Third-party costs may be charged separately.

  • Delays in payment may affect campaign management, project timelines, or service delivery.

  • Any disputed invoice should be raised promptly with supporting details.

Third-party costs may include advertising spend, hosting, domains, software subscriptions, premium plugins, stock assets, external integrations, and marketplace or listing fees.

Unless expressly stated otherwise in writing, our professional service fees do not include advertising spend or third-party charges.

Where an invoice remains unpaid beyond the agreed due date, we may issue a payment reminder and, subject to the applicable agreement and law, suspend or pause affected services after providing any notice required by the agreement or applicable law.

Any late payment charges must be expressly agreed where required and comply with applicable law.

7. Advertising Budgets and Third-Party Platforms

Our performance marketing services may involve third-party platforms, including Google Ads, Meta Ads, LinkedIn Ads, YouTube, TikTok, and other advertising networks.

Unless expressly agreed otherwise, advertising expenditure is separate from our management fees.

The client is responsible for approving the advertising budget and ensuring that sufficient funds are available in the relevant advertising account or payment method.

We may recommend campaign budgets, bidding strategies, targeting options, creatives, and optimisation approaches. These recommendations are based on our professional assessment and the information available at the time.

Advertising platforms are independently operated by third parties. Their policies, pricing, algorithms, targeting options, reporting systems, and account requirements may change without notice.

We do not control third-party platforms and cannot guarantee:

  • Approval of every advertisement.

  • Uninterrupted access to advertising accounts.

  • A specific number of impressions, clicks, leads, or sales.

  • A fixed cost per lead or cost per acquisition.

  • A specific return on advertising spend (ROAS).

  • A particular conversion rate or revenue outcome.

  • The absence of account restrictions, suspensions, or policy enforcement actions.

We will make reasonable professional efforts to manage and optimise campaigns according to the agreed scope. However, campaign performance depends on factors outside our control, including market conditions, competition, pricing, product quality, landing page performance, sales processes, and customer behaviour.

8. No Guarantee of Marketing Results

Digital marketing is influenced by multiple factors, including advertising platform algorithms, search engine updates, competitor activity, economic conditions, website performance, customer demand, and the quality of the client’s products or services.

Accordingly, unless expressly guaranteed in a separate written agreement, we do not guarantee:

  • A particular number of leads, enquiries, or customers.

  • Guaranteed sales, revenue, or profit.

  • A specific return on investment or advertising spend.

  • First-page rankings or a particular position on search engines.

  • Immediate SEO improvements or fixed ranking timelines.

  • A particular volume of website traffic.

  • Approval of business listings, advertisements, or marketplace submissions.

  • A particular growth rate or business outcome.

Any case studies, testimonials, performance figures, or examples displayed on our website are illustrative of particular engagements or results and should not be interpreted as a guarantee that another client will achieve the same outcome.

Our responsibility is to deliver the agreed services professionally and in accordance with the applicable engagement terms.

9. Client Responsibilities

Clients must cooperate with us and provide the information, approvals, access, and materials reasonably required to deliver the agreed services.

Client responsibilities may include:

  • Providing accurate business and contact information.

  • Supplying correct product, service, pricing, and offer details.

  • Providing timely access to advertising accounts, websites, analytics, and relevant systems.

  • Ensuring that the client owns or is authorised to use the supplied content, images, videos, trademarks, and other materials.

  • Reviewing and approving advertisements, landing pages, campaigns, and other deliverables.

  • Maintaining adequate advertising budgets and valid payment methods.

  • Responding to leads and customer enquiries promptly.

  • Ensuring that its products, services, offers, and business practices comply with applicable law.

  • Obtaining any necessary permissions or consents for the collection and use of customer information.

  • Informing us of relevant legal, regulatory, or industry restrictions.

  • Maintaining appropriate access controls for accounts under its ownership.

Delays caused by incomplete information, delayed approvals, unavailable access, or other client-side issues may affect project timelines and results.

We are not responsible for delays or performance issues to the extent they result from a client’s failure to meet its agreed responsibilities.

10. Advertising Content and Legal Compliance

Clients are responsible for ensuring that the products, services, offers, claims, prices, promotions, and business information they ask us to advertise are accurate and lawful.

Unless separately agreed in writing, clients remain responsible for:

  • The legality of their products and services.

  • The accuracy of product descriptions and marketing claims.

  • Required licences, registrations, certifications, and permissions.

  • Consumer protection compliance.

  • Applicable industry-specific advertising restrictions.

  • Product warranties, refunds, delivery, and customer service.

  • Required privacy notices and consent mechanisms on client-owned websites.

  • Lawful collection, sharing, and use of customer or lead information.

We may decline to create, publish, or manage material that we reasonably believe is unlawful, deceptive, misleading, infringing, or contrary to applicable platform policies.

Where we identify a potential compliance issue, we may request clarification, revised materials, or supporting documentation.

Our provision of marketing services does not constitute legal, tax, financial, investment, or regulatory advice unless a separate written agreement expressly provides otherwise and such advice may lawfully be given.

11. SEO and Search Engine Services

SEO services involve ongoing work intended to improve a website’s technical quality, relevance, visibility, and organic search performance.

Search engines independently determine how websites are indexed, ranked, displayed, or removed from search results.

We do not control search engine algorithms or guarantee:

  • Specific keyword rankings.

  • A particular number of indexed pages.

  • Immediate indexing of new content.

  • A guaranteed increase in organic traffic.

  • A fixed number of backlinks or referring domains resulting in a ranking improvement.

  • Protection from all search engine algorithm updates.

Where SEO services are included in an engagement, our work will be limited to the activities and deliverables agreed with the client.

Any ranking or traffic forecasts are estimates and should not be treated as guaranteed outcomes.

12. Website Development and Technical Services

Where we provide website design, development, landing page creation, technical integrations, or maintenance, the applicable scope and delivery terms will be agreed in writing.

Unless otherwise agreed, the client is responsible for:

  • Providing accurate content and business information.

  • Reviewing designs and development previews.

  • Approving the final deliverables.

  • Maintaining ownership or valid licences for supplied materials.

  • Maintaining domain registration and hosting payments where those accounts are client-owned.

  • Protecting administrative credentials.

  • Maintaining appropriate backups and access permissions for systems under its control.

Third-party hosting providers, plugins, themes, APIs, payment gateways, and software platforms may experience outages, compatibility changes, vulnerabilities, or discontinued support.

We will not be responsible for failures caused by third-party services or unauthorised modifications except to the extent responsibility cannot lawfully be excluded or is expressly accepted under a separate agreement.

Any maintenance, security updates, post-launch support, warranty period, or revision allowance will be governed by the relevant proposal or service agreement.

13. Intellectual Property Rights

All intellectual property rights in our website and its original content, including our branding, logos, designs, text, graphics, layouts, marketing materials, and proprietary resources, belong to Dioptre Media Private Limited or the respective rights holders, unless otherwise stated.

You may not reproduce, modify, distribute, publish, or commercially exploit our protected content without prior written permission, except where permitted by law.

13.1 Client Materials

Clients retain ownership of materials they own and provide to us, subject to any third-party rights or applicable licence restrictions.

Clients grant us permission to use those materials to the extent reasonably necessary to perform the agreed services.

13.2 Project Deliverables

Ownership of project-specific deliverables, such as website designs, copy, creative assets, source files, campaign materials, and other work products, will be determined by the applicable service agreement.

Where ownership is not expressly addressed, any transfer of intellectual property rights will be subject to applicable law, the scope of the engagement, and payment of the agreed fees.

Third-party software, fonts, stock images, plugins, themes, and other licensed materials remain subject to their respective licence terms.

13.3 Advertising Accounts and Data

Unless otherwise agreed in writing, client-owned advertising accounts and client business data remain under the client’s ownership or control.

Our access to such accounts and data is limited to the purposes of delivering the agreed services.

We do not claim ownership of client assets merely because we manage or access them during an engagement.

14. Confidentiality

During an engagement, either party may receive confidential business, financial, technical, marketing, operational, or customer information belonging to the other party.

Each party agrees to take reasonable steps to protect confidential information and use it only for the purposes of the relevant engagement.

Confidential information should not be disclosed to unauthorised third parties except where:

  • Disclosure is necessary to perform the agreed services.

  • The recipient is an authorised employee, contractor, or service provider subject to appropriate confidentiality obligations.

  • Disclosure is required by law or a competent authority.

  • The information is already lawfully available to the public.

  • The information was lawfully obtained independently without a confidentiality restriction.

Where required, additional confidentiality obligations may be included in a separate non-disclosure agreement or service contract.

15. Privacy and Data Protection

Our collection and use of personal information through our website are governed by our Privacy Policy.

You can review the Privacy Policy at:

https://dioptremedia.com/privacy-policy/

Where we process personal information on behalf of a client, the applicable service agreement and relevant data protection requirements will also govern our responsibilities.

Clients are responsible for ensuring that they have an appropriate legal basis to collect and share customer information with us for the relevant services.

We will take reasonable measures to protect information within our control and comply with applicable data protection obligations.

16. Third-Party Services and External Links

Our website and services may rely on third-party websites, software, advertising platforms, hosting providers, analytics tools, CRM systems, and other external services.

We do not own or control these third-party services.

Their availability, functionality, pricing, terms, privacy policies, and security practices are determined by their respective providers.

We are not responsible for third-party service interruptions, changes, restrictions, or actions except to the extent responsibility cannot lawfully be excluded or is expressly accepted under a separate agreement.

You should review the applicable terms and policies of any third-party service you use.

17. Suspension and Termination of Services

An engagement may be suspended or terminated in accordance with the relevant proposal or service agreement.

Subject to applicable law and the applicable agreement, we may suspend or terminate services where:

  • A client materially breaches the agreement.

  • Invoices remain unpaid beyond the agreed payment terms.

  • A client provides materially false or misleading information.

  • The client requests unlawful or prohibited activities.

  • Continued service delivery creates a material security, legal, or compliance risk.

  • Required account access, approvals, or information are not provided.

  • A third-party platform makes the agreed services impossible or materially impracticable to perform.

Where appropriate, we will provide notice and a reasonable opportunity to address the issue before suspension or termination.

The client may terminate an engagement according to the notice period, cancellation provisions, and other conditions set out in the applicable agreement.

Upon termination, outstanding fees for services already performed, approved expenses, and other amounts properly payable under the agreement will remain due.

Any refund, advance payment adjustment, transfer of deliverables, account handover, or transition assistance will be handled according to the relevant agreement and applicable law.

Termination does not affect rights or obligations that accrued before the effective termination date.

18. Refunds and Cancellations

Refund eligibility depends on the nature of the service, the work performed, the applicable proposal or agreement, and applicable law.

Unless otherwise agreed in writing:

  • Fees for services already performed are generally not refundable, subject to applicable legal requirements.

  • Work commenced against an approved scope may be chargeable even if the client subsequently decides not to proceed.

  • Third-party expenses already incurred or non-refundable subscriptions may not be refundable.

  • Advertising spend is subject to the relevant advertising platform’s billing and refund policies.

  • Advance payments will be handled according to the agreed payment and cancellation terms.

If a refund is applicable, the amount and process will be determined by the relevant agreement and applicable law.

Nothing in this section excludes any refund, cancellation, or other right that a client is legally entitled to exercise.

19. Limitation of Liability

To the maximum extent permitted by applicable law, Dioptre Media Private Limited will not be liable for indirect, incidental, special, punitive, or consequential losses arising from the use of our website or services, including loss of profits, revenue, anticipated savings, business opportunities, or goodwill.

We are not responsible for losses resulting from matters outside our reasonable control, including third-party platform restrictions, search engine algorithm changes, client-side errors, market conditions, or interruptions in external services, except where liability cannot lawfully be excluded.

Where liability arises from a particular service engagement, any applicable limitation of liability will be governed by the relevant written agreement and applicable law.

Nothing in these Terms & Conditions excludes or limits liability where such exclusion or limitation is prohibited by law, including liability that cannot lawfully be excluded for fraud, wilful misconduct, or other non-excludable matters.

20. Indemnification

To the extent permitted by applicable law, a client may be responsible for losses, claims, damages, or reasonable costs arising from:

  • Unlawful or misleading information supplied by the client.

  • The client’s infringement of third-party intellectual property rights.

  • The client’s unlawful products, services, or business activities.

  • The client’s breach of applicable advertising or data protection laws.

  • The client’s unauthorised use of our website, systems, or services.

This section applies only to the extent the relevant claim results from the client’s acts, omissions, or breach of its obligations.

Any indemnification obligations agreed in a separate contract will remain subject to that contract and applicable law.

21. Force Majeure

Neither party will be considered in breach of an agreement to the extent that performance is delayed or prevented by events beyond its reasonable control.

Such events may include natural disasters, fire, flood, epidemic, war, civil unrest, government action, legal restrictions, telecommunications failures, widespread internet outages, or major third-party platform disruptions.

The affected party will take reasonable steps to reduce the impact of the event and resume performance when reasonably possible.

Payment obligations for services already performed or expenses properly incurred will remain subject to the applicable agreement and law.

22. Electronic Communications

By communicating with us electronically, including through email, website forms, or other agreed communication channels, you acknowledge that electronic communications may be used for enquiries, proposals, approvals, invoices, and service-related notices.

Electronic records and signatures may be recognised where permitted under applicable law.

Any formal notice or approval required by a specific service agreement must be provided in the manner specified in that agreement.

23. Changes to These Terms & Conditions

We reserve the right to update or amend these Terms & Conditions from time to time.

Changes may be necessary due to updates in our services, business operations, website functionality, third-party arrangements, or applicable legal requirements.

The latest version will be published on this page, together with the revised “Last Updated” date.

Unless otherwise stated or required by law, updated terms will apply prospectively to website use after publication. Existing client engagements will remain subject to their applicable agreements and any legally effective amendments.

We encourage you to review this page periodically.

For client engagements, any additional dispute resolution mechanism, including mediation or arbitration, will apply only where validly agreed in the relevant written contract.

Nothing in this section restricts any right or remedy that cannot lawfully be restricted under applicable law.

25. Severability

The invalid or unenforceable provision will be interpreted or limited as necessary to reflect its lawful purpose, where permitted by law.

26. Entire Agreement

These Terms & Conditions govern general use of our website and provide general terms relevant to our services.

For a specific client engagement, the applicable proposal, quotation, statement of work, service agreement, and any other mutually accepted written terms will determine the detailed scope, deliverables, pricing, and contractual responsibilities.
